Terms of Service

1. Agreement
These Terms of Service (“Terms”) form a binding agreement between you (“you”) and RBJ Global Trading LLC, doing business as WhisprDesk, a company registered at 5900 Balcones Drive, Suite 100, Austin, TX 78731, USA (“we,” “us,” “WhisprDesk”). By downloading, installing, or using WhisprDesk (the “Software”), you agree to these Terms. If you do not agree, do not install or use the Software.
2. License to use the Software
Subject to your compliance with these Terms and payment of any applicable fees, we grant you a personal, non-exclusive, non-transferable, revocable license to install and use the Software on Macs that you own or control, up to the activation limit associated with your license key.
This is a license, not a sale. You do not acquire ownership of the Software or any intellectual property rights in it.
3. Permitted use
You may:
- Install and use WhisprDesk for personal or internal business purposes
- Transcribe your own audio recordings and dictation
- Use the optional BYOK AI features with your own API keys
- Activate the Software on multiple Macs up to your license's activation limit
4. Prohibited use
You may not:
- Reverse-engineer, decompile, or disassemble the Software, except to the extent expressly permitted by applicable law
- Redistribute, sublicense, sell, rent, lease, or transfer the Software or any license key
- Remove or modify any proprietary notices or labels
- Circumvent the license activation mechanism or use an unauthorized license key
- Use the Software to transcribe audio or content you do not have the legal right to record or process
- Use the Software to violate any applicable law, including laws governing consent to record and privacy of third parties
- Use the Software in any manner that could damage, disable, or overburden our or any third-party systems or interfere with any other user's use of the Software
5. Intellectual property
The Software, including its source code, object code, design, branding, icons, and documentation, is owned by us or our licensors and is protected by copyright, trademark, and other intellectual property laws. WhisprDesk incorporates open-source components (including Whisper and NVIDIA Parakeet); those components are subject to their own licenses, which are distributed with the Software.
6. Your content
Any audio you record or upload, and any transcriptions produced, belong to you. We do not claim ownership over your content. We do not receive or store your content on our servers; it is processed locally on your Mac. If you send content to a third-party AI provider via BYOK, that processing is governed by the provider's terms, not ours.
7. Payments, renewals, and refunds
Payments are processed by Lemon Squeezy, our merchant of record. Lemon Squeezy's terms apply to the payment transaction itself.
Refund policy. You may request a full refund within fourteen days of purchase by emailing support@whisprdesk.com. After the fourteen-day period, refunds are at our sole discretion and are generally not provided except as required by applicable consumer-protection law.
Unless otherwise stated, license purchases are one-time transactions that do not auto-renew. If in the future we offer subscription licenses, renewal and cancellation terms will be disclosed clearly before purchase.
8. Third-party services
WhisprDesk can integrate with third-party services, including AI providers (OpenAI, Anthropic, Google) under a bring-your-own-key model. You are solely responsible for (a) agreeing to each provider's terms, (b) securing your API keys, and (c) any fees those providers charge you. We do not act as a party to your relationship with those providers.
9. Termination
You may stop using WhisprDesk at any time. We may suspend or terminate your license if you materially breach these Terms (including attempts to circumvent the license mechanism or use a revoked license). On termination, you must stop using the Software and uninstall it. Sections 5, 10, 11, 12, and 13 survive termination.
10. Warranty disclaimer
The Software is provided “as is” and “as available,” without warranties of any kind, express or implied. We do not warrant that the Software will be uninterrupted, error-free, secure, or free from defects; that transcriptions will be accurate or suitable for any particular use; or that the Software will meet your requirements. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement.
11. Limitation of liability
To the maximum extent permitted by law, our aggregate liability for any claim arising from or related to WhisprDesk will not exceed the amount you paid for your license in the twelve months preceding the claim, or USD $100, whichever is greater. We will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages — including lost profits, lost data, or reputational harm — even if advised of the possibility of such damages.
Some jurisdictions do not allow the limitation of certain damages, so some of the above may not apply to you.
12. Indemnification
You agree to indemnify, defend, and hold us harmless from any claims, damages, or expenses (including reasonable legal fees) arising out of your misuse of the Software, your violation of these Terms, or your violation of any third party's rights in connection with your use of the Software (including laws governing consent to record).
13. Governing law and disputes
These Terms are governed by the laws of Texas, USA, excluding its conflict-of-law rules. Any dispute arising from or relating to these Terms will be resolved exclusively in the courts of Texas, USA, and you consent to the personal jurisdiction of those courts. Nothing in this section prevents either party from seeking injunctive relief in any competent court.
14. DMCA and copyright complaints
If you believe content associated with WhisprDesk or our website infringes your copyright, send a notice containing the information required by the Digital Millennium Copyright Act to support@whisprdesk.com with subject line “DMCA Notice”.
15. Export control
You may not download, export, or re-export the Software to any country, person, or entity subject to U.S. export restrictions or to sanctioned parties listed by the U.S. Treasury Office of Foreign Assets Control, or in violation of any applicable export control law.
16. Changes to these Terms
We may update these Terms from time to time. The effective date at the top reflects the last revision. For material changes, we will attempt to notify you by email or through the Software. Continued use of the Software after an update indicates acceptance.
17. Severability and entire agreement
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. These Terms (together with our Privacy Policy) constitute the entire agreement between you and us regarding the Software.
